These terms govern your use of Leaki. By creating an account or connecting an accounting system you agree to them. Leaki is operated by Leaki, Inc., a Delaware corporation.
1. What Leaki does
Leaki reads your accounting records through read-only integrations and produces audit findings: suspected duplicate payments, vendor overcharges, anomalous transactions, missing documentation, and similar issues. It ranks those findings and can draft dispute correspondence for them.
2. Your account
- You must provide accurate information and keep your credentials confidential.
- You are responsible for activity under your account.
- You must have the authority to connect any accounting system you connect.
- You must be at least sixteen years old and able to form a binding contract.
- Tell us promptly if you believe your account has been compromised.
3. Fees
Connecting an accounting system and running audits is free. Leaki charges fifteen percent of amounts recovered as a result of a finding Leaki raised. Recovered means cash refunded to you, or a credit issued against an outstanding balance, in each case traceable to that finding.
- Fees are invoiced after the recovery has been received by you, never in advance.
- Amounts you were already disputing before connecting to Leaki are excluded.
- Findings you decline to pursue generate no fee.
- An unsuccessful dispute generates no fee.
- Invoices are payable within thirty days.
If you disagree with a fee, tell us within thirty days of the invoice and we will review the underlying finding with you.
4. Acceptable use
You may not use Leaki to access data you are not authorised to access, attempt to defeat its rate limits or access controls, reverse engineer it, resell access without a written agreement, or use it to build a competing product.
5. Your data
You retain all rights in your data. You grant Leaki a limited licence to process it solely to provide the service to you. We do not sell it and we do not use it to train general-purpose models. The privacy policy sets out how it is handled and how to have it deleted.
6. Third-party systems
Leaki depends on APIs operated by Intuit, Xero, and Zoho. Those providers control availability, rate limits, and the scope of data they expose. Leaki is not responsible for their outages, changes, or errors in the data they return.
7. Availability
Leaki is provided as is. We do not offer a service level commitment. We do our best to keep it running and to warn you about planned maintenance, but we do not guarantee uninterrupted availability.
8. Limitation of liability
To the fullest extent permitted by law, Leaki is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim is limited to the greater of the fees you paid us in the twelve months before the claim, or one hundred United States dollars.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
9. Indemnity
You agree to indemnify Leaki against claims arising from your misuse of the service, your breach of these terms, or your violation of the rights of a third party, including any claim arising from correspondence you send to a vendor.
10. Termination
You may stop using Leaki and close your account at any time. We may suspend or terminate an account that breaches these terms, or that we reasonably believe is being used unlawfully. Fees already earned on recoveries you have received survive termination.
11. Changes
We may update these terms. If a change is material we will email account holders before it takes effect. Continuing to use Leaki after that constitutes acceptance.
12. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and both parties consent to venue there.
